1. The Selloffvacations.com/Qponz Inc. “Open & Save Contest” (the “Contest”) commences on June 29, 2009 at 00:01 am EST and closes on August 21, 2009 at 23:59 pm EST (the “Contest Period”).

2. NO PURCHASE NECESSARY. SUBJECT TO ALL FEDERAL, PROVINCIAL, MUNICIPAL AND LOCAL LAWS AND REGULATIONS. VOID WHERE PROHIBITED. The Contest is open to all legal residents of Canada excluding Quebec who have reached the age of majority in their province of residence at the time of entry. Notwithstanding the foregoing, the Contest is not open to employees, representatives and agents of First Choice Canada Inc and Qponz Inc. (together referred to as the “Contest Sponsors”) or their respective parent, subsidiary and affiliated companies, representatives, dealers and agents, advertising and promotional agencies and their affiliates and persons with whom any of the above are domiciled, and members of their respective immediate families.

3. To Enter:  No purchase necessary to enter. Enter by completing an online ballot at www.openandsave.com . All entries must include your first and last name, departure city, email address and daytime phone number with area code. Limit of one entry per person during the contest period. In the event it is discovered that any individual has attempted to enter the Contest more than once, all of that individuals entries (past and future) will be disqualified from this contest. Any use of automated devices prohibited.

4. Grand Prize Selection: There will be one (1) random draw conducted for the Grand Prize among all eligible entries received during the Contest Period.  The draw will be conducted by Selloffvacations.com personnel and held at 5:00pm EST on August 21, 2009 at the Selloffvacations.com office located at 1685 Tech Avenue, Unit 3, Mississauga, Ontario, L4W 0A7.

One potential winner will be drawn at random from among all eligible purchase and non-purchase entries. The potential winner will be notified by an agent of the Contest Sponsor by telephone within 72 hours following the draw.  In order to win a Grand Prize, a potential winner must first correctly answer, unaided, a time-limited mathematical skill-testing question which will be administered by the Contest Sponsor by telephone at a mutually convenient time, as a condition of winning. Should any potential winner not be reached during the  period following the draw for any reason, including, but not limited to, the fact that a potential winner has a call privacy feature on his/her telephone, or if any potential winner fails to correctly answer the skill-testing question, or if any potential winner does not meet all of the Contest conditions as set out herein, then the Grand Prize shall be automatically forfeited by that potential winner and an additional draw will be made from among the remaining entries received during the Contest Entry Period to determine an alternate potential winner for the Grand Prize. An agent of the Contest Sponsor shall attempt to contact the new potential winner within 72 hours of such selection and such selection will be otherwise subject to the same conditions as set out in this paragraph.

5. Grand Prize:There will be one (1) prize (the”Prize”) awarded consisting of a trip for two (2) people consisting of the Winner and, one (1) guest of the Winner to Cancun, Mexico.

The Prize includes:

• Two (2) return economy airfare tickets for winner and guest from the closest gateway offered by SellOffVacations.com to Cancun Mexico.
• Seven (7) night’s standard accommodation (single room, double occupancy) at the Sensatori Azul Hotel
• All Inclusive meal plan
• The Prize is subject to certain limitations such as ticket availability and blackout periods. Travel must take place November 01, 2009 to January 31, 2010.

Any additional expenses not included in the Prize as described herein, including, but not limited to, all taxes, additional meals, travel insurance, health insurance, gratuities, in-room movies, taxis, transportation to and from the Winner’s home and the Gateway airport nearest his/her Canadian residence, transportation to and from Airport to hotel and in destination activities are the responsibility of the Winner and his/her guests.

The Winner and his/her guests must depart from and return to the same airport. The Winner and his/her guests must be able to travel at the same times and dates to be selected by them and approved by SELLOFFVACATIONS (the “Agency”) or forfeit the Prize. The Winner and his/her guests must hold and present a valid Canadian passport, including all necessary government documentation to travel to Mexico. The Agency will not replace any lost or stolen tickets, travel vouchers or certificates. All tickets issued in conjunction with the Prize are not eligible for frequent flyer miles, and no code-share flights may be used. The Prize may not be transferred except by the Agency or as otherwise indicated herein. Only the listed Prize will be awarded and no substitutions, cash equivalents or redemptions will be made, except that the Agency and the Sponsor reserve the right to substitute any Prize package to another hotel or destination if necessary. The substitute Prize, if required, will be equal or greater value. Travel arrangements and reservations regarding the flight must be made according to instructions give to the Winner. Once reservations are made, they cannot be changed. Other restrictions may apply.

The total approximate value of the Prize is four thousand, five hundred dollars in Canadian currency ($4,500.00 CDN) per couple, excluding applicable taxes, based on a departure from Toronto, Ontario.

6. Odds of Winning: Odds of winning are based on the total number of valid entries to the contest.

7. Additional Terms: No correspondence pertaining to this contest will be entered into except with the potential winners. The sponsor accepts no liability for printing errors on material distributed for this contest.

By entering the contest, entrants agree to abide by the contest rules and all decisions of the Contest Sponsor, which are final. Prizes will be awarded and delivered to the confirmed winners by the handling house. Winners agree to authorize Contest Sponsor to announce and publish their name, address (city only) and photograph in any forthcoming publicity in connection with this promotion without further remuneration. Potential winners (and/or their parent or legal guardian) will be required to release the Contest Sponsors, and their agencies and representatives from liability with respect to the contest and the prize. Failure on the part of a selected entrant (and/or their parent or legal guardian) to return the affidavit by the deadline as posted on the release form may result in disqualification of that person and an alternate winner will be selected from among all remaining eligible entries.

All entries become the property of Selloffvacations.com, who assumes no responsibility for incomplete, lost, late, damaged, illegible or misdirected entries or email, nor for technical, hardware or software failures of any kind, lost or unavailable network connection, or failed, incomplete, garbled or delayed computer transmissions which may limit a user's ability to participate. Selloffvacations.com reserves the right, in its sole discretion, to cancel or suspend this promotion should a virus, bug, computer problem, unauthorized human intervention or other cause beyond sponsor's control, corrupt the administration, security, fairness or proper play of the contest. In the event of early termination of the contest, a notice will be posted on-line and a random drawing to award all prizes will be conducted from among all eligible entries received prior to the time of termination. Selloffvacations.com reserves the right to modify the contest or disqualify entrant if fraud, misconduct or technical failures destroy the integrity of the contest as determined by the sponsor, in its sole discretion.

The Contest and the terms and conditions contained in these Contest Rules and Regulations shall be governed exclusively by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising hereunder shall be adjudicated solely in the applicable court in Toronto, Ontario.

No Party shall be liable to the other Party for any failure to perform its obligations or to carry out any of the activities contemplated by this Agreement if such failure is caused by an event of force majeure.  The Party suffering an event of force majeure shall use its best efforts to minimize the event of force majeure with all reasonable dispatch.
